Google Can Now Buy 5th-Largest Stake in Chipmaker Marvell
Marvell gave Google a warrant worth up to $12.2 billion in stock, tied to how much custom AI silicon Google buys through 2033.
Google does not have to buy a single additional Marvell chip to walk away from this deal with nothing. But if it keeps buying at the pace the agreement anticipates, it stands to become Marvell's fifth-largest shareholder without spending a dollar of its own cash upfront. Marvell disclosed in a regulatory filing this week that it has granted Google a warrant to purchase up to 58.97 million of its shares at $206.58 apiece, a stake worth roughly $12.2 billion if fully exercised. Marvell's stock jumped as much as 11 percent on the news. Broadcom, its larger rival and Google's existing custom chip partner, fell more than 5 percent the same day.
What Google Actually Received
The warrant itself, issued Tuesday and exercisable until August 18, 2033, is not free money sitting in Google's pocket. It is a right to buy shares at a fixed price, and according to Bloomberg's review of the filing, roughly 1.4 million of those warrant shares vest in the first year, with the rest arriving in tranches tied directly to Google's chip purchases, specifically for every $500 million in Marvell products Google buys going forward. That structure means the deal's real value to Google depends entirely on how much of its own procurement it actually routes through Marvell, not on the headline number alone. If Google buys less than anticipated, most of the warrant simply never vests.
The underlying commercial agreement, signed on July 29, covers a broad slate of hardware built to plug into Google's tensor processing unit ecosystem, the custom silicon underpinning much of the company's AI infrastructure. Marvell's own disclosure specifies AI inference accelerators, storage controllers, network interface controllers, memory interface controllers, and near-memory computing components, a portfolio aimed less at competing with Nvidia's flagship training chips and more at the surrounding infrastructure that makes a TPU cluster actually function at scale.
Why Marvell, and Why Now
Demand for chips built specifically to run trained AI models, a process known as inference, has surged as companies look for alternatives to Nvidia's general-purpose GPUs, which carry a steep price premium and were not originally designed around the specific economics of inference workloads. Morningstar analyst William Kerwin framed the deal as "a big win for Marvell," while cautioning that he saw it as evidence of a growing overall market for custom AI silicon rather than a straightforward loss for Broadcom specifically. That distinction matters. Google is not necessarily replacing Broadcom with Marvell. It may simply be diversifying its custom chip supply chain across two vendors simultaneously, a hedge against relying on a single partner for infrastructure this critical to its business.
Marvell reports earnings on August 27, and the market has already priced in meaningful volatility around that announcement. Analysts at Stifel maintained a buy rating with a $350 price target ahead of the report, while TD Cowen raised its own target from $200 to $225, specifically citing Marvell's strengthening position in optical digital signal processors, a separate but related product line that benefits from the same AI infrastructure boom driving this Google deal.
A Financing Structure Becoming the Industry Standard
This kind of arrangement, a chip supplier handing a major customer warrants tied to future purchases, is no longer a novelty in AI infrastructure deals. It is becoming the default template. AMD struck a nearly identical structure with OpenAI in October, issuing a warrant for up to 160 million AMD shares, worth roughly a 10 percent stake, tied to OpenAI deploying 6 gigawatts of AMD's GPUs across multiple hardware generations. That deal sent AMD shares up as much as 37 percent in early trading the day it was announced, a scale of single-day reaction that shows just how much weight markets now assign to a chipmaker landing a hyperscaler as both a customer and, contingently, a shareholder.
The mechanism serves both sides in ways a simple purchase order does not. For the chip supplier, it locks in demand and gives the customer a direct financial incentive to keep buying, since Google's own stake grows in lockstep with its spending. For the buyer, it converts what would otherwise be a pure cost center into a position that appreciates if the supplier's business, boosted substantially by that same buyer's purchases, performs well. Google effectively gets partial ownership of the upside its own procurement decisions help create.
The Part of This Deal That Should Give Google Pause
Warrant-based vendor financing is not without its own risk, and Google does not have to look far to see how quickly the calculus can shift. Nvidia recently cut its own proposed financing backstop for OpenAI's Ohio data center campus from an original $250 billion down to less than $120 billion, after Nvidia's investors pushed back hard on how much balance-sheet risk the chipmaker was taking on for a single customer's infrastructure ambitions. That episode is a useful reminder that even the largest, most dominant company in AI hardware faced real investor resistance once the scale of vendor-financing exposure became fully visible. Google's Marvell warrant is structurally different, a stock option tied to purchases rather than a debt guarantee, and considerably smaller in absolute terms. But the broader pattern, Big Tech companies entangling themselves financially with the very suppliers whose chips they depend on, carries the same underlying question in every version of the deal: what happens to that entanglement if AI infrastructure spending growth slows before either side's targets are met.
The Competitive Landscape This Reshapes
Custom AI silicon has become one of the most consequential battlegrounds in the entire industry, and Google's TPU strategy sits at the center of it, alongside separate efforts from Qualcomm, AMD, and a growing list of challengers all racing to offer viable alternatives to Nvidia's dominant position. Broadcom's own multi-year agreement with Google, which runs through 2031 and covers future generations of custom AI racks, remains firmly in place despite this week's stock reaction. Google appears to be running a genuine multi-vendor strategy rather than picking a single winner, spreading both its technical dependency and its capital commitments across more than one supplier at a scale few companies outside the handful of true hyperscalers could realistically afford to replicate.
This deal arrives against a backdrop where Big Tech companies have reinforced expectations of spending more than $700 billion on AI infrastructure this year alone, up from roughly $400 billion last year, according to figures Reuters cited alongside its coverage of the announcement. A single $12.2 billion warrant is, in that context, a comparatively modest line item. What it represents is not the size of the number, but the increasingly standard mechanism through which that historic spending is actually getting financed, structured, and mutually incentivized between the handful of companies building AI's physical infrastructure and the handful of companies paying for it.
